Terms of Service

These Terms of Service ("Terms") govern your access to and use of NAVIS ("NAVIS", "we", "us") and its website, application, and APIs (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

NAVIS is a decision-intelligence layer for orbital operations. It tracks satellites using public data and generates compliance, risk, conjunction, and disposal insights to support operator decisions.

NAVIS is advisory. It does not command spacecraft, execute manoeuvres, or take operational action. All outputs are recommendations. The satellite operator retains sole authority and responsibility for every operational decision and action.

You must be at least 16 and able to form a binding contract. You are responsible for keeping your credentials secure and for all activity under your account. Notify us promptly of any unauthorized use.

You agree not to:

• use the Service unlawfully or in violation of export controls or sanctions;
• attempt to breach security, access other tenants' data, or disrupt the Service;
• reverse engineer, resell, or scrape the Service except as permitted by our API;
• exceed the rate limits, seats, or satellite quotas of your plan; or
• rely on the Service as the sole basis for a safety-critical action without independent verification.

Paid plans are billed in advance on a recurring basis through Kelviq, our payment provider and merchant of record, which handles charges, taxes, and invoices. Subscriptions renew automatically for the same period unless cancelled before the renewal date. You can cancel anytime; access continues until the end of the paid period. Except where required by law, fees are non-refundable. We may change prices with notice effective at your next renewal.

We may offer a free tier with reduced limits. It is provided "as is", may change or end at any time, and is subject to these Terms.

You retain ownership of the fleet configuration, private assets, and other content you provide ("Customer Data"). You grant NAVIS a limited license to host and process Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.

The Service incorporates public orbital data from providers such as CelesTrak and Space-Track. This data is provided by third parties "as is", may contain errors or gaps, and is subject to those providers' own terms. We do not warrant its accuracy, completeness, or timeliness.

The Service, including its software, models, and design, is owned by NAVIS and its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NAVIS does not warrant that outputs are accurate or that the Service will be uninterrupted or error-free. NAVIS is a decision-support tool, not a substitute for the operator's independent judgment or for certified flight-safety systems.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR LOSS OF OR DAMAGE TO SPACECRAFT, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold NAVIS harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms.

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or create risk to the Service or others. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period, after which it may be deleted.

We may update these Terms from time to time. Material changes take effect on the updated effective date; your continued use after that date constitutes acceptance.

These Terms are governed by the laws of the jurisdiction in which NAVIS is established, without regard to conflict-of-laws rules. Disputes will be resolved in the competent courts of that jurisdiction.

These Terms and the Privacy Policy are the entire agreement between you and NAVIS regarding the Service. If any provision is unenforceable, the rest remains in effect. We are not liable for delays or failures caused by events beyond our reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
